Agreement to Terms

By accessing or using Niel's VTC ('we', 'our', or 'us') services, including our website, mobile applications, and ride-hailing or delivery services (collectively, the 'Service'), you agree to be bound by these Terms & Conditions ('Terms'). If you disagree with any part of these Terms, you may not access the Service.

Description of Services

Niel's VTC provides a technology platform that connects passengers with independent drivers and facilitates transportation and delivery services. We are not a transportation carrier and do not provide transportation services. Drivers are independent contractors, not employees of Niel's VTC.

User Accounts

To use certain features of our Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password
• Accept all responsibility for activities under your account
• Notify us immediately of any unauthorized use

Passenger Terms

• You must be at least 18 years old to use our Service
• You are responsible for providing accurate pickup and destination locations
• You agree to pay all charges associated with your use of the Service
• You must treat drivers with respect and follow all applicable laws
• We reserve the right to refuse service or terminate accounts at our discretion

Driver Terms

• You must be at least 21 years old and possess a valid driver's license
• You must have valid vehicle registration and insurance
• You must pass background checks and vehicle inspections
• You are responsible for all taxes and fees related to your earnings
• You must comply with all local, state, and federal laws and regulations
• We reserve the right to deactivate your account for violations of these Terms

Payments and Fees

Fares are calculated based on factors including distance, time, vehicle type, and demand. You agree to pay all charges associated with your use of the Service. Payment is processed through secure third-party payment processors. Refunds are handled on a case-by-case basis in accordance with our refund policy.

Cancellations

You may cancel a ride booking in accordance with our cancellation policy. Cancellation fees may apply if you cancel after a driver has been assigned or if the cancellation occurs after certain time limits. Drivers may cancel rides, and we will work to assign another driver promptly.

Limitation of Liability

To the maximum extent permitted by law, Niel's VTC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Indemnification

You agree to indemnify and hold harmless Niel's VTC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Service or violation of these Terms.

Intellectual Property

The Service and its original content, features, and functionality are owned by Niel's VTC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the 'Last Updated' date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Niel's VTC operates, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association, except where prohibited by law.
